The successful candidate will work on sophisticated domestic and international Capital Markets transactions, with a focus on companies, sponsors, and financial institutions operating in the energy, infrastructure, and industrial sectors. The role offers the opportunity to advise on a broad range of debt and equity capital markets matters, including initial public offerings, follow-on offerings, high-yield debt offerings, SPAC transactions, liability management exercises, project bonds, and securities law and corporate governance matters. The successful candidate will be a proactive and collaborative lawyer who combines strong technical skills with commercial judgment and a practical, business-oriented approach. The candidate should be capable of independently managing significant portions of transactions, coordinating diligence and disclosure processes, drafting and negotiating transaction documents, and working closely with clients, investment banks, accountants, and opposing counsel. Candidates should possess exceptional drafting, analytical, issue-spotting, project management, and communication skills and be comfortable working directly with public company management teams and financial institutions on complex and fast-paced transactions. Your Experience J.D. from an accredited law school. Active membership in good standing with the Texas Bar, or eligibility to waive into the Texas Bar. At least three years of law firm experience focused on capital markets, securities, corporate finance, or related corporate transactions. Significant experience representing issuers, underwriters, sponsors, or financial institutions in debt and equity capital markets transactions. Experience with liability management transactions or restructuring-related financings is preferred. Ability to independently manage transaction workstreams and coordinate multidisciplinary teams on complex matters. Strong analytical, drafting, negotiation, and communication skills. Strong attention to detail and ability to manage multiple matters and deadlines in a fast-paced, collaborative environment. Sound judgment, commercial awareness, intellectual curiosity, and a practical, client-focused approach.
