Legal Counsel

Job description

### About AngelList Private markets are the new public markets. The most important companies of this era are private, and almost no one can own them. What's missing is the financial system public markets spent a century building: exchanges, custodians, brokers, and ways for ordinary people to buy in. Private markets, now $28T, never had the equivalent. AngelList is building it. The last decade of structural innovation in venture happened here: syndicates, SPVs at scale, Rolling Funds, scout programs. Today we have $200B+ in assets and 30,000+ startups funded on our platform. The rest of private markets is next. Funds is the software and services behind private funds, Nova is the banking network, Meridian is the wealth platform for accredited investors, and USVC is the brand behind a registered fund that lets anyone invest in venture. Working here means an unusual amount of agency on a problem that matters. Titles are closer to suggestions, and there are about 200 of us building what private markets never had. Come build it with us. ### ### About the Role AngelList is hiring a Legal Counsel to own ordinary-course corporate work and help resolve the legal questions that arise across our Funds business. You’ll handle commercial contract reviews, board consents, and equity grants while joining the legal team’s reactive rotation - spanning investor consents, side letters, portfolio-company issues, secondary transactions, and regulatory questions. This role combines recurring corporate responsibilities with matters that require a fresh assessment of the facts and a clear position on risk. This is a hands-on role. You’ll work closely with teams across AngelList including Product, Engineering, Fund Operations, Finance, Tax, Compliance, and Customer Success;, both to resolve individual matters and improve the systems and processes that created them. You should enjoy both resolving today’s challenges and making tomorrow’s easier to handle. ### Responsibilities - Own procurement and commercial contract reviews, including terms governing data rights, retention, and the use of data to train AI models. - Assess fact-specific fund and investment matters, including fee disputes, carry transfers, distribution or secondary-related issues, side letters, and other non-standard fund operation issues and develop a clear position on legal risk. - Research and advise on questions arising under the Securities Act, Investment Company Act, Investment Advisers Act, and related rules applicable to AngelList’s funds and products. - Use AI-assisted research and drafting workflows, reviewing and verifying proposed responses rather than relying on their output unchecked. - Identify recurring patterns in corporate and reactive legal work and help turn them into reusable guidance, templates, and AI-assisted workflows. - Support bespoke fund structures and strategic customer arrangements and determining whether requested terms can be supported within AngelList’s legal and operational framework. ### What we’re looking for - **Corporate transactional capability.** You can take ownership of commercial contract reviews and ordinary-course corporate matters. - **An AI-forward approach to legal work.** You are comfortable using AI tools, checking their output, and distinguishing work that can be automated from decisions that require a lawyer. - **Comfort with ambiguity and reactive work.** You can take ownership when the facts are incomplete, the issue is time-sensitive, or there is no existing playbook, and you know when to make a judgment call versus escalate. - **A practical, cross-functional approach.** You can collaborate with internal teams to develop solutions that appropriately balance legal risk and business realities. - **Fund and regulatory fluency (or the ability to develop it quickly).** You are comfortable working with fund governing documents, investor arrangements, and securities and investment-management concepts. You do not need to have encountered every issue before, but you should be able to get up the curve quickly. - **An appetite for hands-on execution.** You want to handle recurring corporate work and a steady flow of time-sensitive legal matters—not only novel transactions or strategic initiatives.
