You’ll get: - Hands-on ownership in running and scaling core operations (including Legal, Compliance, Risk, and Governance). - Exposure to end-to-end enablement models that strengthen operating engines, employee experience, and scalable processes. - A highly cross-functional environment with close collaboration across delivery/PMO and domain teams to drive consistent execution. **About the Role** As **Manager - Legal**, you will protect Zinnov’s reputation by strengthening legal risk management, compliance, and governance across the organization. You will provide proactive, business-focused legal counsel, lead contract and policy workstreams end-to-end, and build scalable processes that reinforce integrity and ethical conduct across the firm. This role reports into the Assistant Director – Legal and owns Corporate Legal and Compliance responsibilities, partnering closely with internal stakeholders and external counsel to drive timely, high-quality outcomes. **What You’ll Do** **Legal Advisory & Risk Management** - Provide proactive, in-depth legal advice that is business-aligned and risk-aware. - Protect organizational reputation by identifying, mitigating, and advising on legal and compliance risks. **Contracting, Drafting & Negotiation** - Draft, review, negotiate, and close legal and transactional documents and agreements. - Ensure agreements are thoroughly vetted in the company’s interest and responded to within agreed timelines. - Lead negotiations on complex, high-value contracts with strong attention to detail and commercial practicality. **Intellectual Property & Trademark Support** - Support matters related to trademark infringement and associated enforcement actions, as required. **Compliance, Governance & Policy Building** - Build and manage Corporate Law, Labour Laws, Corporate Governance, and compliance activities across the organization. - Draft and maintain internal manuals and policy documents; drive adherence to internal group policies and procedures. - Track regulatory and legal developments; conduct research and share implications with relevant stakeholders. **Entity Setup & Expansion Enablement** - Support company formation and entity structuring activities; experience with India and US entity formation is an advantage. **Litigation, Arbitration & External Counsel Management** - Coordinate with lawyers and external counsel for notices, replies, petitions, litigation, and arbitration matters. **Stakeholder Management & Communication** - Build effective working relationships with internal stakeholders, clients (including international clients), and business associates. - Communicate clearly and professionally across levels, with strong interpersonal effectiveness. **What You Bring** **Qualifications & Experience** - 6–12+ years of experience across corporate legal, contracts, compliance, and governance. - Demonstrated ownership of contract drafting/review and negotiation for complex, high-value agreements. - Experience coordinating with external counsel on disputes, notices, litigation/arbitration processes. - Exposure to labour laws, corporate laws, and corporate governance frameworks. **Key Skills** - Strong contracting fundamentals: drafting, negotiation, risk identification, and closure discipline.
