Job description
The Hongkong and Shanghai Hotels (“HSH” – owner and operator of The Peninsula Hotels, The Repulse Bay and many high-profile assets globally) is seeking to hire a Senior Manager, Company Secretarial to join our Company Secretarial and Legal Department in Hong Kong. This role is responsible for supporting the Group’s corporate governance and regulatory compliance framework by providing efficient, accurate, timely and practical company secretarial services and listing rules compliance advice to HSH and its subsidiaries. Work for a prestigious, globally renowned hospitality and luxury property group Exceptional market leading benefits (role is based in Hong Kong) Key Accountabilities Handle the full set of company secretarial matters for HSH and its subsidiaries, including drafting, reviewing and arranging approval of board and shareholder resolutions, minutes and related corporate documents. Prepare and coordinate annual and interim reports on governance section, announcements, notices, circulars and other regulatory documents, including reviewing Chinese translations and liaising with the Stock Exchange and professional advisers where required. Lead on good corporate governance practices, including compliance with the Listing Rules, Companies Ordinance, Securities and Futures Ordinance reporting requirements and other applicable statutory and regulatory requirements, ensuring timely submissions, filings and regulatory disclosure. Coordinate the Annual General Meeting, including the preparation of meeting timetables, documentation, Chairman’s scripts, logistics, shareholder-related materials and post-meeting filings. Review and update the Group’s company secretarial records, statutory registers and filing systems to ensure accuracy and compliance. Review and provide advice on connected transactions, notifiable transactions and other corporate governance matters, and recommend practical solutions to management. Take ownership of governance policies and documentation. Proactively provide company secretarial support for financing transactions, banking documentation, loan facilities and other corporate transactions. Manage KYC requests and related due diligence matters for the Group, including coordinating with internal and external parties and providing required corporate documents and information. Stay abreast of regulatory developments to anticipate changes and potential business implications. General Requirements Degree in Business, Corporate Administration, Corporate Governance or related disciplines. Minimum 8 years’ company secretarial experience in a listed company environment. Associate member of HKCGI/CGI, or an equivalent professional qualification. Strong knowledge of the Listing Rules, Companies Ordinance, Securities and Futures Ordinance and other relevant Ordinances. Strong analytical, problem-solving and organisational skills. High attention to detail with the ability to manage multiple priorities and meet tight deadlines. A proactive, self-motivated team player with good interpersonal skills. Good command of both written and spoken English and Chinese. Proficiency in Microsoft Office applications, including Word, Excel and PowerPoint.
