Plante Moran's Tax Transaction Advisory Services group is seeking a Senior Manager to focus full time on tax due diligence and transaction advisory services. This role will serve middle market private equity clients, strategic buyers, sellers, and other transaction stakeholders across a broad range of industries. Your work will include, but not be limited to: Lead buy-side and sell-side tax due diligence engagements, serving as the primary day-to-day tax lead with clients, targets, investment bankers, attorneys, and other transaction advisors — including leading diligence calls and status communications. Own the tax due diligence process by overseeing a team and providing support from kickoff through final report: scope management, information requests, management interviews, technical analysis, client communication, final deliverables, and RWI support. Monitor engagement scope, timing, risk management, and client expectations to arrive at appropriate conclusions for both the client and the firm. Identify, evaluate, and communicate material tax exposures, transaction risks, tax attributes, planning opportunities, and post-closing considerations in a clear, practical, and deal-focused manner. Advise clients on transaction structuring matters, including the tax implications of stock and asset acquisitions, taxable and tax-deferred structures, flow-through entity transactions, purchase agreement considerations, and tax modeling. Structuring work will include Section 338(h)(10) and 336(e) elections, F-reorganizations, rollover equity mechanics, and QSBS/Section 1202 considerations. Support clients across the private equity deal lifecycle — platform acquisitions, add-ons, carve-outs, and exits — as well as strategic buyer and seller transactions. Review, shape, and present tax due diligence reports and transaction-related analyses so that findings are technically accurate, appropriately supported, clearly written, and tailored to the client's investment or transaction objectives. Manage multiple concurrent engagements, deadlines, workstreams, and cross-functional teams while maintaining quality, responsiveness, and client service. Coordinate with federal, state and local, international, accounting methods, credits and incentives, and other specialists to deliver integrated transaction tax advice. Serve on the Advisory Team for assigned managers, seniors, and staff, providing coaching, technical development, and real-time feedback during engagements rather than reserving development conversations for year-end. Help develop and improve transaction advisory methodologies, report templates, workpaper standards, due diligence processes, and other tools that enhance quality, efficiency, and client value. Actively use and help advance the practice's AI-enabled workflow. The practice uses enterprise AI tools including Microsoft Copilot and CoCounsel today, with additional AI and data tooling expected over time. Use these tools daily in live engagements — document review and summarization, data request intake, exposure identification, report drafting support, and quality review — and help set the standard for how AI is used, reviewed, and quality-controlled across the team, including coaching managers, seniors, and staff on effective and responsible use. Partner with our U.S. and Mumbai teams to run integrated engagements. Participate in practice development activities, including proposals, internal networking, client expansion opportunities, thought leadership, and collaboration with other service groups. Travel as needed for client meetings, target management meetings, networking events, prospecting, proposals, industry events, and other practice development activities. The qualifications. 8+ years of recent public accounting, law firm, corporate transaction tax, or tax transaction advisory experience. CPA, JD, or LL.M. required. Broad federal tax background — corporate, partnership, S corporation, tax attributes, purchase price allocation concepts, and common M&A tax issues. State and local tax exposure in a transaction due diligence context (income/franchise, sales and use, nexus, credits and incentives, gross receipts). Hands-on experience using AI tools in professional tax, legal, or transaction work — for example Microsoft Copilot, CoCounsel, Harvey, Hebbia, or comparable enterprise AI platforms. Demonstrated adoption, not awareness: ability to describe specific engagements where AI was used in the workflow, how the output was quality-reviewed, and how others were coached on responsible use. Strong written and verbal communication skills, including the ability to explain complex tax matters in plain language to non-tax stakeholders. Experience working with offshore or global delivery teams (India-based or otherwise) preferred, including reviewing and coaching remote colleagues. Experience with tax modeling, after-tax proceeds, stock vs asset, gross ups, PTET impacts, purchase agreement tax provisions, indemnity considerations, tax attribute analysis, or post-closing tax planning preferred. Industry-agnostic transaction experience preferred, with the ability to quickly understand different business models, industries, and deal dynamics. This is an exempt position; overnight travel is required as described above, and hours may exceed a standard 40-hour work week. What makes us different? The compensation range reflects the base salary we reasonably expect to pay for this position across our offices in the following regions: CO, IL, OH, and MA.
